Chicken Rice Shop ready for takeover talks

KUALA LUMPUR, March 11, 2015: 

TCRS Restaurants Sdn Bhd, the operator of The Chicken Rice Shop, is receptive to discussion with any party their interests in acquiring a stake in the business.

Chief executive officer Wong Kah Lin said TCRS is receptive to discussion with any party that could help make the company bigger and to explore more opportunities.

She said this when asked to comment on news reports that Brahim’s Holdings Bhd, the in-flight meal provider, was keen to acquire a stake in TCRS.

“”We are very humbled that people see value in us. It is indeed flattering,” Wong said at the TCRS’s 15th anniversary celebration here today.

Brahim’s, in a filing to Bursa Malaysia yesterday, said it would likely acquire a stake in TCRS to create and increase its shareholders’ value. The decision, however, was still under negotiation, it said.

Wong said the company, which has 76 The Chicken Rice Shop outlets currently, planned to open another 25.

“It will be mainly in the shopping malls outside Klang Valley area,” she said, adding that among the states that would have the outlets included Kelantan, Terengganu and Kedah.

TCRS Restaurants expected the new outlets to contribute 20% to its sales for this year, she said.

Meanwhile, in conjunction with the anniversary celebration, Wong said TCRS would introduce a ‘Buy one, Free one’ promotion till this December, and a new dish named ‘Red Pepper Chicken’ starting March 15 at all outlets nationwide.

She said the company would also have new promotions every two months.

“The main reason for the promotions are to show how we really appreciate that Malaysians have supported us through all this years.”

Besides The Chicken Rice Shop, TCRS Restaurants is also the operator of Sweet Chat, Pancake House International and Dubu-Dubu.

Brahim's unsure if it can buy Chicken Rice Shop chain

KUALA LUMPUR, March 10, 2015: 

The proposal to acquire The Chicken Rice Shop ‘may or may not materialise’ as it is still under ‘negotiation’, said Brahim’s Holdings Bhd yesterday.

In response to article reported by a business weekly on ‘Brahim’s to buy The Chicken Rice Shop?’, Brahim’s said its board of directors always strove to create and increase the shareholders’ value.

“However, at this juncture, the terms and conditions of the proposed acquisition have yet to be agreed upon.

“Once the terms and conditions have been agreed and an agreement has been executed for the proposed acquisition, Brahim’s shall make an immediate announcement,” it said in a filing to Bursa Malaysia.

It was reported that Brahim’s was currently in talks to acquire a local food-and-beverage business, TCRS Restaurants Sdn Bhd, the owner and operator of The Chicken Rice Shop, Sweet Chat and Dubu-Dubu here.

It said Brahim’s would likely acquire a stake in TCRS, which is also the co-owner of Pancake House International, and not all of it.

KUALA LUMPUR, Feb 25, 2015: 

Brahim’s Holdings Bhd has aborted its plan to acquire the Burger King franchise in Malaysia and Singapore as more than 90% of its shareholders are against it.

Executive chairman Datuk Seri Ibrahim Ahmad Badawi said among the reasons given is that the fast food chain is a loss-making entity.

The inflight meals provider held an extraordinary meeting here today to seek shareholders’ approval to acquire a 100% equity interest in Rancak Selera Sdn Bhd, a unit of Ekuinas, for RM95 million.

Rancak Selera is also the holding company for Cosmo Restaurants Sdn Bhd and Burger King Singapore Pte Ltd.

The acquisition would have given Brahim’s control of the Burger King outlets, and an opportunity to integrate its existing portfolio.

Despite the negative note by the shareholders, Ibrahim said the company would continue to look for new acquisitions, but still in the food and beverages industry.

KUALA LUMPUR, Feb 10:

After burning through about RM185 million in less than four years, the Burger King franchise in Malaysia and Singapore is getting a white knight in the form of Brahim’s Holdings Bhd.

In a circular filed with Bursa today, Brahim’s said it had roped in former QSR Brands (M) Holdings Sdn Bhd managing director Datuk Ahmad Zaki Zahid to manage the Burger King franchise – aiming to tap his experience in previously running KFC and Pizza Hut outlets in Malaysia, Brunei, Cambodia, Singapore and India.

However, the circular doesn’t mention how much Brahim’s will be pumping into Burger King to revive the franchise – with plans that include selective expansion of new outlets and refurbishment of existing ones – 49 in Malaysia and 38 in Singapore.

The franchise vendor, Ekuiti Nasional Bhd (Ekuinas), had pumped in around RM58 million since it bought the Burger King franchise in 2011 for RM68.2 million – RM39.5 million in the form of loans, which were later converted into shares in the Malaysian franchise holder and another RM5 million and S$5 million (RM13.1 million) cash injection.

As at end-2013, accumulated losses amounted to RM76.37 million while losses for the nine months to Sept 30 last year stood at RM50.38 million. Net tangible assets stood at RM119.8 million at end-2013.

The deal is being positioned as a 80:20 joint venture between Brahim’s and Ahmad Zaki’s Quantum Angel Sdn Bhd valued at RM95 million, which will be up for Brahim’s shareholders’ approval on Feb 25.

Should Brahim’s shareholder not give their approval, the deal will lapse on March 31 this year if an extension is not obtained from Ekuinas and the Burger King master franchise holder from the US.

Key terms of the deal include Brahim’s not being allowed to close any existing outlets with the master franchiser’s prior approval.

Brahim’s will also have to pay US$25,000 (RM89,900) each to the master franchiser to get a 20-year licence to operate the outlets under the Burger King name.

A non-competitive clause whereby Brahim’s cannot operate for two years any “McDonald’s franchise business” is also part of the deal. Excluded are existing food franchises and pizza outlets already being operated by the buyers.

SEPANG, 21 Januari:

Brahim’s Airline Catering Sdn Bhd (BAC) akan melabur sebanyak RM5 juta tahun ini bagi membeli enam unit mesin pencuci pinggan.

Pengerusi Eksekutifnya, Datuk Seri Ibrahim Ahmad Badawi berkata mesin-mesin itu akan digunakan untuk mencuci dan menyamak peralatan serta perkakasan dapur bagi 37 pesawat penerbangan yang menjadi pelanggan kepada katerer dalam penerbangan tersebut.

“Terdapat banyak syarikat penerbangan yang datang ke sini, sebagai contoh dari Jepun, China dan Eropah. Sebahagian besar daripada mereka bukan Islam jadi, makanan yang syarikat penerbangan ini sediakan berkemungkinan besar tidak halal.

“Ini merupakan sebab mengapa kami perlu membuat pembersihan secara samak,” katanya selepas pelancaran mesin pencuci pinggan yang mematuhi syariah itu, di sini pada Selasa.

Katanya, BAC sudah menggunakan mesin tersebut sejak 1998 dan ia telah dinaik taraf dengan teknologi terkini dari Jerman.

“Mesin ini adalah mesin yang berkualiti dan berkesan dengan ciri-ciri penjimatan air,” tambah Ibrahim lagi.

Brahim's yakin kontrak sajian makanan dalam MAS diteruskan

SEPANG, 20 Januari:

Brahim’s Holdings Bhd yakin akan dapat meneruskan kontrak penyajian makanan dalam penerbangan dengan Khazanah Nasional Bhd.

Pengerusi Eksekutifnya, Datuk Seri Ibrahim Ahmad Badawi berkata syarikat itu mempunyai kemudahan melaksanakan tugas itu.

“Sebagai syarikat 100 peratus milik Malaysia, saya berpendapat adalah menjadi tanggungjawab kami membantu Malaysia Airlines (MAS),” katanya ketika pelancaran mesin pembersihan peralatan memasak yang patuh Syariah di sini, hari ini.

Tahun lalu dilaporkan syarikat itu mengadakan rundingan semula kontrak penyediaan makanan dalam penerbangan bernilai RM6.25 bilion dengan Khazanah dan berharap untuk bersetuju dengan syarat-syarat tertentu.

Syarikat itu, melalui anak syarikat milik 70 peratus, Brahim’s Airline Catering Sdn Bhd, mempunyai kontrak 25 tahun yang berakhir pada 2028 untuk menyajikan makanan dan perkhidmatan berkaitan di Lapangan Terbang Antarabangsa Kuala Lumpur dan Lapangan Terbang Antarabangsa Pulau Pinang.

Syarikat itu menandatangani kontrak pada 2003 apabila ia mengambil alih 70 peratus kepentingan dalam MAS Catering, yang bermasalah, daripada MAS.

Ibrahim berkata perbincangan masih diteruskan dan berharap memuktamadkannya sebelum syarikat baru MAS mengambil alih pada pertengahan tahun ini.

Mengenai sama ada perniagaan syarikat itu akan terjejas ekoran dua tragedi yang melanda MAS (MH370 dan MH317), Ibrahim berkata 2015 merupakan tahun yang mencabar bagi syarikat itu memandangkan MAS merupakan penyumbang utama hasil Brahim’s.

Beliau bagaimanapun berkata selain MAS, syarikat itu juga memberi perkhidmatan kepada lebih 30 syarikat dan sedang berunding dengan syarikat penerbangan yang lain.

Syarikat itu juga mempelbagaikan sumber pendapatannya, namun makanan dan minuman terus menjadi tumpuan, katanya.

“Kami akan mengambil alih rangkaian makanan segera Burger King dan kini menunggu kelulusan Bursa Malaysia.

“Sebaik memperoleh kelulusan daripada bursa itu dan pemegang saham pada mesyuarat agung luar biasa, kami akan mengambil alih lebih 54 restoran Burger King di Malaysia dan 41 di Singapura,” katanya dan menambah ia bakal menyumbang RM300 juta kepada perolehan syarikat.

Ekuinas quiet on Burger King franchise stake talks

KUALA LUMPUR, Sept 16: 

Ekuiti Nasional Bhd (Ekuinas) today said in a statement that its policy is not to comment on any of its prospective investments or divestments until they formally materialised.

Its holding statement makes no mention of the talks that Brahim’s Holdings Bhd said in its Bursa filing yesterday of its intent to buy over the Burger King franchise in Malaysia.

Brahim’s had said it “is exploring the business opportunity and engaging in preliminary discussions on buying Burger King franchise but as at to date, the company has neither concluded nor entered into any definitive  agreement relating to the above”.

In its statement today, Ekuinas said its role as a government-linked private equity (PE) firm is to invest in high growth companies, “which we aim to create and enhance its value and thereafter divest at the end of our investment period. Ekuinas’ investment horizon is typically between three and five years.

“Like any other PE firms, Ekuinas continuously explores acquisition and divestment opportunities.

“Once these investments or divestments are executed, we commit to provide material information on them in line with our practice of a full disclosure policy.”

Ekuinas bought a 74.1% stake in Burger King master franchisee Cosmo Restaurants Sdn Bhd on Sept 15, 2011 for RM68.1 million. CIMB PE was last reported to have retained the remaining stake in Cosmo.

SEPANG, Sept 11: 

Inflight meals provider, Brahim’s Airline Catering Sdn Bhd (BAC), is eyeing to cater meals onboard Malindo Air, Qatar Airways and Royal Brunei Airlines by year-end.

The move is part of the company’s effort to reduce its dependency on Malaysia Airlines which currently contributed over 75% to its revenue.

BAC, a unit of Brahim Holdings Bhd, currently serves 35 international airlines and clients included Malaysia Airlines and AirAsia X, said executive chairman Datuk Ibrahim Ahmad Badawi.

“We have talked and presented menus to them. So, we are now finalising the price,” he said during a media visit to BAC’ kitchen here today.

“Actually, we have been looking at how we can mitigate less volume coming from the national carrier for quite a while now,” he said, adding that Brahim signed up Lufthansa early this year.

BAC will also intensity efforts to reduce dependency on flight catering business in the country by setting up halal flight kitchen overseas on the back of strong demand for halal foods especially in non-Muslim countries, he said.

“There are quite a number of interested parties beside Japan, who want to have halal flight kitchen to serve Muslim-owned airlines like Qatar Airways, Emirates Airline and Etihad Airways.

“We have been talking to them on how we can collaborate,” he said.

In January, the company inked an agreement with ANA Holdings Inc (ANA) to produce halal Japanese cuisine for in-flight catering in Japan, which paved the way for a joint venture halal flight kitchen in Narita and Haneda airports in Tokyo.

“We are also looking at non-airline related business like selling Brahim’s products and open more restaurants in countries like Japan, which is currently attracting more Middle East tourists to the country,” Ibrahim said.

On revenue outlook for the second half, he said: “Surely there will be an impact due to Malaysia Airlines route rationalisation.

“Until today we are still not sure if Malaysia Airlines will maintain the long-haul destinations to Europe and so on or depend on oneworld to serve customers to other parts of the world.

“There are talks saying that it might concentrate in the region.”
