Solicitors Merger & Contract Novation To Do List
1. Do you have a Standard Contract with the Legal Aid Agency to provide Services?
2. Does the firm you seek to Merge with also have a Standard Contract with the Legal Aid Agency?
3. You must notify your LAA Contract Manager that there is to be a material constitutional change to your firm. This should be a written application & must be done 14 days before the change is effective.
4. Your Contract Manager should then inform the LAA of the proposed change.
5. Inform the SRA of the proposed Merger.
6. The LAA will then make a decision on novation of the Standard Contract.
7. The LAA should make a decision of novation within 1 month.
8. When granted permission to novate you must continue to comply with the Pre-Qualification requirements, the Essential Criteria and the Selection Criteria on which you were awarded the Standard Contract.
9. You should inform the Solicitors Regulation Authority of the changes to the firm. You must complete a notice of succession form (NS1) signed by all affected parties and send it The SRA within 28 days of the change.
10. You should also provide to the SRA a report based on the key structural change to the practice.
