Quantum eMotion Corp., a premier quantum-based cybersecurity company, has agreed to purchase 100% of the issued and existing shares of California-based SKV Technology Inc. This strategic move gave QeM control of Jet Lab Technologies Inc.'s core technology assets, notably the secure SecureKey platform.
This acquisition advances QeM's full-stack, quantum-resilient security architecture ambition. The company wants to merge the recently acquired SecureKey technology with its Sentry-Q orchestration layer, powered by Quantum Random Number Generators, to protect the cloud, network, endpoints, and chips.
One Vision: Entropy to Enforcement
The transaction relies on two complimentary technologies' synergy. QeM's Sentry-Q platform manages safe P2P encrypted connections and creates quantum-grade entropy and master keys. It sets security standards like key rotation, authentication, and PQC cipher suites.
However, the acquired SecureKey platform enforces. SecureKey, a hardware-anchored software platform, implements Sentry-Q's secure channels on devices. Integrating hardware boundaries with strong software controls inhibits cryptographic key theft. A two-pronged approach ensures strict trust enforcement at the execution border and cloud layer.
Revolutionizing Breach Prevention with Zero-Exposure Keys The acquisition's most innovative feature is Zero-Exposure Keys, a patent-pending “memory-less” cryptographic architecture. This method addresses the main cause of modern cybersecurity breaches, memory-based key and credential theft.
Zero-Exposure Keys eliminate persistent key storage and enable government-level protection in pure software for cloud and edge environments without proprietary hardware modules. NIST-validated encryption standards make these elements FIPS-certified and widely used by the government.
Strategic growth and market implications
The cybersecurity industry is facing unprecedented demand, which prompted this purchase. The global cloud security and critical infrastructure market is valued over $150 billion, according to Gartner. In the acquisition, SecureKey's lead technologist and SKV and Jet Lab founder Jason Thomas will join Quantum eMotion as an executive developer. Thomas' understanding of secure networking stacks and applied cryptography is vast. New role: support SecureKey's commercialization and strategic product integration as part of QeM's technological roadmap.
This integration “dramatically reduces key exposure risks while accelerating post-quantum migration,” stated Quantum eMotion CEO Dr. Francis Bellido. Thomas concurred, saying the partnership creates a “uniquely powerful architecture” with execution-bound enforcement and quantum-grade entropy.
Financial and Regulatory Information
The QeM will buy all SKV stock. Milestone-based earn-out payments of up to C$7,000,000 may be made in cash, common stock, or both. The Sentry-Q and SecureKey architecture technical and integration objectives must be met for these payments.
QeM has also agreed to pay $15,000,000 in royalties over five years if SecureKey technology products sell well.
The deal is a “expedited acquisition” under TSXV rules. The closing date is tentatively March 2026, pending TSXV clearance and usual closing formalities. Canadian shares issued as part of the purchase will have a four-month statutory hold period.
