上場したときの気持ちなんて忘れてるんだろな。上場が本当に必要かよく考えよう。

そもそもなんで上場したのという話

冒頭でも触れたとおり、そもそも単にコストが高いからと言って徒に上場を廃止するというのは、少なくとも個人投資家保護の観点から言えば、決して望ましいものではない。

株式の上場と同時に新株を発行し公募によって大勢の投資家に株式を販売することをIPO（Initial Public Offering）と言うが、IPOで株を売るときの重要な前提条件は、その株はこれから上場するからもし売りたくなったら市場で売れますよということだ。買ったら一生保有し続けなければならない株を買う人は少ない。いざという時に換金できるだけの流動性があるということは、投資家にとって何にも換え難いほどの大きな価値である。

その貴重な流動性をなくしてしまうのが株式の非公開化であるから、少数株主にとっては一大事である。よくTOBをすると個人株主から「TOBに応募せず会社が非上場化したら自分の株は紙くずになってしまうのか」という問い合わせがある。実際は単に流動性がなくなるだけだが、たったそれだけのことが極めてクリティカルな事象であるということを物語っていると言えるだろう。
