Vivendi agrees to sell SFR to Altice in RM75.4b deal

PARIS, April 7

Vivendi SA agreed to sell its French phone unit SFR to Altice SA in a deal valued at more than €17 billion (RM75.4 billion), rejecting a sweetened government-backed offer from Bouygues SA.

Cable billionaire Patrick Drahi’s Altice will pay €13.5 billion in cash and give Vivendi 20% of the company created from a merger of its Numericable Group with SFR, France’s second-largest phone company.

Vivendi will receive an extra €750 million if some earnings targets are met, according to a release from the Paris-based company.

By sticking to its preferred bidder Altice after three weeks of exclusive talks, Vivendi is trying to end a bidding war that threatens to delay a company reorganisation to focus on media.

Scrapping its initial plan to spin off SFR, Vivendi said the agreement with Altice faces fewer regulatory and antitrust hurdles and that it will eventually sell the residual stake.

“After thorough discussions, the supervisory board decided unanimously to select the Altice/Numericable offer which corresponds to the industrial project offering the highest growth potential, generating the highest value for its customers, employees and shareholders, while best meeting Vivendi’s objectives,” the statement said.

A spokesman for Luxembourg-based Altice confirmed the transaction, declining to comment further. Bloomberg News reported on Jan. 20 that Vivendi was considering a sale of SFR to Numericable and Altice.
