Scarjo, Disney and the inevitable problem with Streaming vs Box Office Revenue….
As you might know, Scarlett Johansson through her loan out company Periwinkle Entertainment Inc is suing Disney for alleged induction inducement to breach a contract that she made through her loan out company Periwinkle with Marvel as relates to the release of the most recent Black Widow movie.
First, a lot of you might read this lawsuit and say it's millionaires fighting with billionaires over dollars but there is greed in this world and then there is Disney level greed. Disney gets a bad rap sometimes, but they also get a justifiable rap at times. So, which is it this time? Let me try and break this down for us…
Background to the lawsuit
In a nutshell is the parent company to marvel and Marvel contracted out with Periwinkle entertainment Inc which is Scarlett Johansson’s loan out company which is the company through which she loans her services for the purposes of acting. They contacted with Marvel for the purposes of working on Black Widow and the agreement that Scarlett Johansson negotiated with marvel back in 2017 basically guaranteed her a form of remuneration based on box office receipts which is means the money generated through the box office release of the movie. They amended this and/or or sorted out an agreement that likely evolved overtime but was confirmed overtime in that Scarlett Johansson, when she contacted this Marvel, would really receive a portion of her remuneration that would be based on box office release box office receipts and this period varied – (and according to the current lawsuit, it was never less than 96 days but the period for box office releases is typically somewhere between 85-129 days).
Why this is a big deal? Well, when there is a the box office release that is exclusive to movie theatres it forces people to go out to the movie theatres so they don't watch the movie anywhere else. It’s a big source of revenue and a possible percentage bonus for her if the film performs well. Scarlett Johansson therefore contacted with Marvel and likely said “I will get the theatrical release, a portion of the widespread theatrical release which should have been anywhere between 85-129 days according to the industry standards”.
So, what happens in the interim? Well, as we know, Disney launched its Disney plus streaming service where they allow paid subscribers to have access to exclusive Disney content and what Disney does when Black Widow is released is instead of exclusively having a theatrical release for 85-129 days, Disney simultaneously releases Black Widow on its streaming services to which Johansson and Periwinkle Entertainment inc. have no contractual rights to the revenue derived from the viewership on Disney plus. The effects of this are insidious for two reasons; one of which is it deprives Johansson of a contractually agreed upon remuneration stream from the movie - the revenue is not going to be coming through in its entirety from the box office release because the movie is being streamed elsewhere.
Her team are claiming Disney is cannibalising the box office revenue to Scarlett Johansson’s detriment. It most definitely is not to Disney's detriment. Why? Mainly because they are effectively using Scarlett Johansson to do the promotional obligations of the film (to make sure that this was a box office smash, obviously) and Disney is like, “thanks for the (essentially) free publicity for the Black Widow box office”. Disney are then saying: “Oh and by the way, now we're going to simultaneously stream the movie, take the audience that would have otherwise gone to see this in the movie theatre and direct them to our streaming service”. FML. Conveniently for Disney, Scarlett Johansson is not entitled to a portion of this revenue, and it's BIG BUCKS. Disney Plus subscription is around £7 or $9 a month per user and we know Disney is trying to grow its base there because they see the reality that movie theatres might not be the more lucrative future of entertainment.
Lawsuit Summary
Disney has induced Marvel to allow the movie to stream on Disney plus and effectively denied Scarlett Johansson a meaningful portion of the revenues that would have otherwise been directed to the box office for anybody who wants to see it within the 85-129 days because it wouldn't have been available to stream for Disney's exclusive benefit. Johansson and Periwinkle Entertainment inc. are therefore suing for:
Inducement to breach of contract and intentional interference with contractual relations.
Basically, they are suing for breach of contract lawsuit against Disney because Disney owns Marvel and Disney is effectively pulling the strings to make this all happen, that’s why the lawsuit isn’t against Marvel specifically. Disney is accusing Scarlett Johansson of being the greedy one when you could argue Disney is the one exploiting its live streaming services to direct traffic box office towards their own Disney as far as the merits of this lawsuit are concerned its a question of interpreting the terms in the contract and the intent of the parties’ involved. Was it the intent of Disney to cannibalise the box office receipt of this movie to divert that traffic to their Disney plus streaming? If so, she and her loanout company have a case for foul play….
